Corporate integrity is a fundamental cornerstone for sustainable operations and long-term partnerships. Ampacs has established effective internal control systems and requires all employees to uphold integrity as a basic principle in performing their duties.
Dedicated Unit for Corporate Integrity
The Human Resources Division under the Administration Department is responsible for promoting corporate integrity management in coordination with relevant departments, including policy formulation and implementation supervision. The Company is committed to actively implementing its integrity management policies and reports the annual implementation status to the Board of Directors on a yearly basis.
♦ Establishment of Relevant Policies
In line with Ampacs’s corporate philosophy and to prevent dishonest conduct, the Board of Directors approved the following policies in 2018:
- Regulations Governing the Prevention of Insider Trading
- Ethical Corporate Management Best Practice Principles
- Procedures for Ethical Management and Guidelines for Conduct
- Code of Ethical Conduct
These policies are disclosed on the Company’s website and in shared internal company areas.
♦ Preventive Measures
- The Company has established a Code of Ethical Conduct to foster appropriate employee behavior standards and help stakeholders better understand the Company’s ethical standards.
- The Company has adopted Ethical Corporate Management Best Practice Principles to establish a culture of integrity and promote sound corporate development and responsible business practices.
- The Company has established Procedures for Ethical Management and Guidelines for Conduct in accordance with relevant laws and regulations in the regions where the Group operates. The Company actively prevents dishonest conduct and conducts business activities based on the principles of fairness, honesty, trustworthiness, and transparency. Specific guidelines are also provided for employees in the performance of their duties.
- To ensure all employees comply with ethical management and insider trading prevention regulations, related policies are introduced to new hires on their first day of employment. In addition, educational training sessions are arranged for all employees. At least once annually, the Company provides integrity management and insider trading prevention training and awareness programs for managers and employees, reinforcing the Company’s commitment to ethical management.
- The Company has established various operational manuals, guidelines, procedures, policies, and regulations related to ethical management as reference standards for employees. These documents are posted in shared company areas and announced regularly for employees’ easy access and review.
♦ Implementation of Internal Training and Awareness Programs During the Year
In 2025, a total of 167 employee training attendances were recorded. Each employee received 0.5 hours of training related to corporate integrity and anti-money laundering awareness. Relevant policies and regulations were announced to all employees, while training videos and integrity-related guidelines were simultaneously uploaded to the internal employee system for reference by employees unable to attend on the training day.
In addition, all employees completed the signing of the Ethical Management Policy Declaration, achieving a 100% signing rate, thereby strengthening the Company’s ethical management framework.
♦ Comprehensive Whistleblowing Mechanism
Ampacs has established a reporting mailbox to provide stakeholders with a communication channel for complaints and reports. Reporting channels are disclosed on the Company’s official website, and the handling procedures for reports have been standardized to protect the legitimate rights and interests of whistleblowers.
For all reported matters, including anonymous and named reports, the Company will investigate relevant facts, personnel, and circumstances related to any potential violations of professional ethics. Appropriate disciplinary actions will be taken depending on the severity of the case.
In 2025, no relevant complaint emails were received through the Independent Director mailbox. The Company also recorded no major employee violations, sexual harassment complaints, or workplace misconduct cases.
